Terms of Service & Subscriber Agreement

The agreement between GoTo Telemed and the licensed medical or dental professionals who subscribe to our software platform. It describes exactly what a subscription delivers, how onboarding works, what it costs, and each party's responsibilities.

What GoTo Telemed is — and is not

GoTo Telemed ("we," "us," the "Company") is a technology and software-as-a-service company. We license access to practice-enablement software and provide related onboarding, training, and administrative support services to independent, licensed healthcare professionals ("Subscribers," "Providers," "you"). We are not a medical or dental practice, we do not provide healthcare services to patients, we do not employ Subscribers, and no physician–patient or dentist–patient relationship is ever formed with GoTo Telemed. Subscribers practice independently, under their own licenses, professional judgment, and malpractice coverage.

Acceptance of these terms

By submitting an application, signing the Service Level Agreement ("SLA") presented in the Provider Success Tool, paying a subscription fee, or accessing any GoTo Telemed portal, you agree to these Terms, our Privacy Policy, the Refund Policy, and the End User License Agreement (EULA) published on our site. If you accept on behalf of a practice or entity, you represent that you are authorized to bind it. If you do not agree, do not use the services.

Eligibility

  • You must be at least 18 years old and hold an active, unrestricted license in a recognized healthcare profession (e.g., MD/DO, NP, PA, RN, DDS/DMD, RDH, or other allied health roles we support) in at least one U.S. state, or be in a documented pathway toward such licensure for training-only plans.
  • You must provide accurate credentialing information (license numbers, NPI, malpractice certificate, and related documents) and keep it current. We may verify credentials with primary sources and suspend access if verification fails.
  • Clinical-facing tools (telehealth console, e-prescribing workflows, claims tools) are activated only after your application, SLA, and payment are approved and required credentials are on file.

What your subscription includes — technology deliverables

A GoTo Telemed subscription is a bundle of software access and defined support services. Depending on the plan purchased, the subscription includes:

Provider Success Tool (PST)

A guided onboarding workspace at gototelemed.com/pst with your application form, e-signable SLA, milestone "care-journey" timeline, document uploads, payment confirmation, and progress tracking from signup to go-live.

Telehealth video console

A browser-based provider portal with an online waiting room, disposable per-visit video room URLs, shareable visit links, and in-visit chat — no patient app install required.

Patient intake & records tools

Digital intake questionnaires, an intake viewer, and practice record-keeping tools (EMR signup and integration support) so you can document visits within your own practice.

Scheduling & appointment coordination

A manage-schedule module plus a named Appointment Coordinator assigned from our support team once operations start.

Claims & billing workspace

A claims portal for preparing insurance claims, payer-mix and income-projection reports, and an Allocated Biller support contact assigned when your practice goes live.

E-prescription workflow

A write-prescription module that connects your visits to compliant e-prescribing workflows (subject to your DEA/state authority; controlled-substance rules always apply).

Credentialing support

A structured credentialing workflow with a named Credentialing Single Point of Contact (SPOC), document collection, primary-source verification coordination, and payer-enrollment assistance.

Training portal

Self-paced telehealth training at gototelemed.com/training ("Healing & Telehealth Foundations" and service-specific modules), with a named Training Support contact and completion tracked in your PST timeline.

AI-assisted tools

Optional AI features (such as the Aura assistant) that help summarize intake information and answer platform questions. AI outputs are informational aids only — clinical decisions remain solely yours.

Support channels

In-portal support tickets, bookable phone calls and screen-share meetings, and email support from named contacts (credentialing, training, appointment coordination, billing).

Practice web presence

Where included in your plan: a provider business webpage, business email setup, and patient-portal allocation for your practice.

Admin & security infrastructure

One-time-passcode login, role-based access, encrypted U.S.-based hosting, audit logging, and uptime-focused infrastructure as described in our Privacy Policy.

Plan differences: the specific modules, support allocations, and patient-allocation targets included in your plan are listed on your plan's checkout page and in your signed SLA, which together form part of this agreement. Where the SLA and these Terms conflict, the SLA controls for that Subscriber.

Onboarding workflow

Subscriptions follow a defined onboarding sequence, tracked step-by-step in the Provider Success Tool:

  1. ApplicationYou complete the online application with your profession, states, services, and expected patient volume.
  2. Review & SLAOur team reviews your application; you read and e-sign the Service Level Agreement describing your plan's deliverables.
  3. Payment confirmationYou pay the subscription fee through our checkout partner and upload/confirm proof of payment; approval starts your onboarding timeline.
  4. TrainingYou complete the required training modules at your own pace (typically 15–20 days).
  5. Credentialing & setupWe collect credentialing documents (license, malpractice certificate), verify them, and configure your business email, webpage, and portal access as included in your plan.
  6. Allocation & go-liveNamed support contacts (appointment coordinator, biller) are assigned, your telehealth console is activated, and your practice begins operating on the platform.

Each milestone is reviewed and approved in the admin console; you can see status, remarks, and next steps in your PST dashboard at all times.

Fees, billing, and refunds

  • Subscription fees. Fees for your selected plan are shown at checkout and/or in a payment link we send after application approval. Fees are for software access and defined support services — they are not payment for patient referrals or clinical services.
  • Payment processing. Payments are processed by third-party checkout and payment platforms; your card details go directly to the processor. We record payment confirmations in your PST timeline.
  • Renewals. Recurring plans renew at the stated interval until cancelled. We notify you before any fee change takes effect.
  • Refunds. Refunds are governed by the published Refund Policy linked in the PST portal. Fees for onboarding stages already delivered (e.g., completed training or credentialing work) are generally non-refundable except where the policy or applicable law provides otherwise.
  • Taxes. Fees exclude applicable taxes, which are your responsibility where required.

License and acceptable use

Subject to payment and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the platform for your own professional practice during your subscription. You agree not to:

  • share login credentials or one-time passcodes, or allow unlicensed persons to use clinical-facing tools;
  • copy, resell, sublicense, scrape, reverse-engineer, or build a competing product from the platform;
  • upload malicious code, attempt to bypass security, or access data belonging to other Subscribers;
  • use the platform for unlawful purposes, including prescribing outside your licensed authority or practicing in states where you are not licensed;
  • misrepresent your credentials, identity, or affiliation with GoTo Telemed.

We may suspend or terminate access for violations, with notice where practicable.

Professional responsibility & independent-contractor status

You practice — we provide software. You retain sole responsibility for all clinical judgments, diagnoses, prescriptions, patient communications, medical records, informed-consent processes, and compliance with the laws, telehealth rules, and professional standards of every state in which you treat patients.
  • You are an independent professional or business, not an employee, agent, or partner of GoTo Telemed. Nothing in this agreement creates an employment, joint-venture, or agency relationship.
  • You must maintain active licensure and professional liability (malpractice) insurance at all times while using clinical-facing tools, and provide certificates on request.
  • Support staff we allocate (coordinators, billers, SPOCs) act as administrative support under your direction for your practice; they do not provide medical care or supervision.
  • AI-assisted features are informational tools only and must not replace your professional judgment.

Patient data, HIPAA, and the Business Associate Agreement

You (your practice) are the covered entity for patient information created or stored in the platform. GoTo Telemed acts as your Business Associate and will execute a Business Associate Agreement with you before clinical-facing tools are activated. You own your practice data; upon termination you may export it, after which we delete or de-identify remaining copies per the BAA and our retention schedule. You are responsible for obtaining patient consents required for telehealth and for your own Notice of Privacy Practices.

Intellectual property

The platform, portals, training content, templates, documentation, and branding are owned by GoTo Telemed or its licensors and are protected by intellectual-property laws. Training materials are licensed for your personal professional use and may not be redistributed. You retain ownership of your practice data and any content you upload; you grant us only the license needed to host and process it to provide the services.

Term, suspension, and termination

  • Term. This agreement starts when you accept it and continues for your subscription period, renewing per your plan.
  • Cancellation by you. You may cancel from your account or by written notice; access continues to the end of the paid period unless the Refund Policy provides otherwise.
  • Suspension/termination by us. We may suspend or terminate for non-payment, credential lapse, security risk, unlawful use, or material breach. Where feasible we will give notice and a chance to cure.
  • Effect. On termination, your license ends; you may export practice data for 30 days, after which Section 8 data-handling applies. Accrued fees remain payable; sections that by nature survive (IP, confidentiality, disclaimers, liability, governing law) survive termination.

Disclaimers and limitation of liability

The platform is provided "as is" and "as available." We target high availability but do not guarantee uninterrupted or error-free operation, and we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law. We are not liable for clinical outcomes, acts or omissions of Subscribers, or third-party services (payment processors, telecom carriers, e-prescribing networks).

To the maximum extent permitted by law, GoTo Telemed's aggregate liability arising out of or relating to the services will not exceed the subscription fees you paid in the twelve (12) months before the claim arose, and neither party is liable for indirect, incidental, special, consequential, or punitive damages. Nothing in these Terms limits liability that cannot be limited by law.

Indemnification

You will indemnify and hold GoTo Telemed harmless from third-party claims arising out of your clinical services, your violation of law or professional standards, your breach of these Terms, or content you upload. We will indemnify you against third-party claims that the platform, as provided by us and used as permitted, infringes their U.S. intellectual-property rights.

Governing law and disputes

These Terms are governed by the laws of the State of Montana, USA, without regard to conflict-of-law rules. The parties will first attempt good-faith informal resolution via in**@*********ed.com; unresolved disputes will be brought in the state or federal courts located in Lewis and Clark County, Montana, and each party consents to their jurisdiction. Either party may seek injunctive relief for IP or confidentiality breaches in any court of competent jurisdiction.

Changes to these terms

We may update these Terms as the platform evolves. Updates are posted here with a new version number and effective date; material changes are emailed to active Subscribers at least 30 days in advance. Continued use after the effective date constitutes acceptance. Your signed SLA continues to govern plan-specific deliverables for its stated term.
